ARTICLE I – NAME
The name of the association shall be Plainfield Red Pride Band Boosters.
ARTICLE II -- PURPOSE AND FUNCTION
The purpose of this association is to support the programs that fall under the guidance and instruction of the band directors of the Plainfield Community School Corporation.
The function of this association is to provide:
--supplemental financial support
--supplemental communication to students, parents, school administrators and the community
--positive encouragement to students
--volunteer personnel assistance
ARTICLE III -- PERIOD OF EXISTENCE
The period during which the association shall continue is perpetual.
ARTICLE IV-MEMBERSHIP
Voting members shall consist of any parent or guardian of students under the guidance and instruction of the band directors of the Plainfield Community School Corporation.
Associate members shall consist of alumni, businessmen, or any member of the community interested in the school's band program.
Ex officio members shall consist of band directors and band/guard students,
ARTICLE V -- BOARD OF DIRECTORS
The board of directors shall be the governing body of the association and shall consist of nine (9) voting members. There shall be two (2) voting members representing each grade level in grades nine through twelve and one voting member representing the eighth grade.
Section A. Directors shall be elected at the annual meeting and shall hold office until their successors are elected. The elections and terms of office shall be as follows:
1. Directors will be elected during the annual meeting for:
a. one year term as follows;
-- one from the present eleventh grade
b, two year terms as follows:
--one each from the then present tenth, ninth, eighth and seventh grade classes
2. Directors shall take office effective January 1st. following the annual meeting at which they were elected and will serve for the duration of their term as defined above.
Section B. Regular meetings of the board of directors shall be held at least once a year, and at such other times as may from time to time be designated by the board of directors.
Section C. Special meetings of the board of directors shall be held upon call of the president, or at the request of a majority of the directors.
Section D. Two (2) days notice shall be given of all directors' meetings, but such notice may be waived and shall be deemed waived by attendance of all directors at such meetings.
Section E. The board of directors shall manage the association's business and may adopt rules and regulations for the proper conduct of business of the association.
Section F. Any director may be removed from office by either of the following methods:
1. at any of board of directors' meeting by an affirmative vote of two-thirds of the board of directors, or
2. at any regularly scheduled meeting of the association, by two-thirds of the majority of the voting members present at such meeting,
Section G. Vacancies among the board of directors shall be filled for the unexpired term by a special election during a regularly scheduled meeting of the Plainfield Red Pride Band Boosters. The board of directors shall nominate a qualified candidate. Nominations for qualified candidates will be open for nomination from the floor.
ARTICLE VI -- OFFICERS
Section A. The board of directors shall, as soon as possible after each annual meeting but no later than January 1st of each year, elect a president, one or more vice presidents, a secretary and a treasurer and such assistants as may be deemed necessary. The offices of president and vice presidents must be filled with individuals serving as directors on the board of directors. The remaining officers must be voting members of the association. The officers shall hold office for one year, from January 1st through December 31st or until their successors are elected.
Section B. The president shall be an ex officio member of all committees except the nominating committee. He shall preside at all meetings of the members and the board of directors, and shall perform such other duties as are usually required of such an officer.
Section C. A Vice President shall perform the duties of the president in his absence, and in the event no vice president is available, the board of directors shall designate who shall temporarily perform the duties of the president.
Section D. The secretary shall keep a record of the minutes of all the meetings of the voting members, board of directors and committees.
Section E. The treasurer shall have the custody of all money and property belonging to the association and shall keep books of accounts showing the financial transactions of the association. These books shall be available to the board of directors upon request. The treasurer shall prepare financial reports monthly and complete various tax filings as necessary. The treasurer shall, at the end of each school year, provide the Plainfield Community School Corporation with a financial statement indicating the annual expenditures and income of the Plainfield Red Pride Band Boosters.
Section F. Any officer may be removed from office by either of the following methods:
1. at any board of director's meeting by an affirmative vote of two-thirds of the board of directors, OR
2. At any regularly scheduled meeting of the association by two-thirds of the majority of the voting members present at such meeting.
Section 6. Vacancies among officers shall be filled for the unexpired term by the board of directors according to Section A, of this article.
ARTICLE VII -- COMMITTEES
Section A. Committees shall be appointed by the president as deemed necessary; however, the committee chairman may appoint a subordinate committee.
Section B. Finance committee shall consist of the officers (excluding assistant officers) of the association. The chairman shall be appointed by the president. The committee shall:
1. Assure that the association is financially sound.
2. Work with the Plainfield Community School Corporation to ascertain what type expenditures should be paid by the school corporation and the type paid for by the Plainfield Red Pride Boosters.
3. Review the band directors' detailed budget request for the Plainfield Community School Corporation & Plainfield Red Pride Band Boosters to assist in preparing an operating budget for the coming year.
4. Approve/deny non-budgeted expenses, Approval or denial shall be subject to the following criteria;
a. Band directors must, in advance of any commitment for such expense submit a written request to the finance committee for consideration.
b. Approve expenditures for the purchase or repair of instruments subject to the fact that the request, for purchase or repair had been submitted to the Plainfield Community School Corporation and the request had been denied.
c. Approval of unbudgeted expenses of $500.00 or less shall require an affirmative vote of two-thirds of the finance committee.
d. Approval of unbudgeted expenses in excess of $500.00 shall require an affirmative vote of two-thirds of the finance committee and a majority vote of the voting members present at a regularly scheduled meeting of the Plainfield Red Pride Band Boosters.
Section C. Ways and Means Committee shall consist of at least (3) directors and as many voting, associate and ex officio members as deemed necessary. The chairman shall be a vice president and shall, along with the remainder of the committee, be appointed by the president. The committee shall establish and manage the ways and means activities required to meet the budget.
Section D. Nominating committee shall consist of no less than three (3) individuals and shall be appointed by the president by September 1st of each year. This committee shall nominate qualified individuals to fill vacancies on the board of directors as existing directors' terms expire. The nominating committee will report their findings to the voting members at least 28 days prior to the annual meeting.
Section E. Audit committee shall consist of three (3) individuals appointed by the president to audit the association's financial books each November.
ARTICLE VIII -- MEETINGS
Section A. The annual meeting of the voting members shall be held the fourth (4th) Tuesday in November of each year.
Section B. Other meetings shall be held at any time upon the call of the president, or a majority of the board of directors, or at the request of at least a majority of the voting members.
Section C. At least two (2) days notice shall be given of all meetings of the voting members, but such notice may be waived and shall be deemed waived by attendance at such meetings. The hour and place of every meeting shall be fixed by the president and shall be so stated in the notice.
Section D. A majority of the board of directors shall constitute a quorum at every board meeting.
Section E. A majority of committee members shall constitute a quorum at all committee meetings.
Section F. A majority of the voting members present at any general membership meeting shall constitute a quorum at such meeting,
Section G. Meetings of committees may be held at any time and place designated by the chairman of such committee, and such committee shall have the power to adopt their own rules governing their procedure.
ARTICLE IX--MISCELLANEOUS
Section A. In case the association shall, at any time, cease to function, or shall be dissolved, any money on hand shall be turned over to the Plainfield Jr./Sr. High School Band Department.
Section B. Officers and directors shall serve without compensation.
Section C. The fiscal year shall be from July 1st to June 30th.
ARTICLE X-AMENDMENTS
Section A. This constitution and by-laws may be altered, changed or amended by the affirmative vote of two-thirds of the voting members of the association present at any regular or special meeting, provided the amendments are read to the general membership during the regularly scheduled meeting preceding the meeting in which the vote is to be taken. It is further stipulated that notice of the first reading shall be given to the voting members at least two days in advance of the reading.
